TERMS AND CONDITIONS OF PHH MENTORSHIP PROGRAMS AND CERTIFICATION LICENSE
THESE TERMS ARE IMPORTANT AND AFFECT YOUR LEGAL RIGHTS. PLEASE CAREFULLY READ THESE TERMS AND CONDITIONS OF PURCHASE PRIOR TO PURCHASING OUR MENTORSHIP PROGRAMS. THIS IS A LEGALLY BINDING AGREEMENT. BY PURCHASING OUR MENTORSHIP PROGRAMS, YOU EXPLICITLY AGREE TO ALL OF THE TERMS FOUND HEREIN. THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE. PLEASE READ THESE TERMS AND THE ARBITRATION PROVISION SO THAT YOU ARE AWARE OF YOUR LEGAL RIGHTS
Section 1 – Introduction & Consent to Terms
Welcome to The Heart Healing Network LLC, a California limited liability company aka Prophetic Heart Healing’s (referred to herein as “PHH”, “we”, “us”, or “our”) Terms and Conditions of Purchase (referred to herein as the “Terms” or the “Agreement”). This is a legal binding contract between PHH, and you, the signatory to these Terms.
All purchasers of our Programs (as defined below) are required to explicitly agree to these Terms prior to purchasing our Programs, either through e-signature or an “I Accept” button. If you do not agree with all the provisions found in these Terms, we ask that you do not purchase our Mentorship Programs. By purchasing our Mentorship Programs, you agree to be bound by these Terms.
Nothing contained in these Terms or the Mentorship Programs shall be construed as providing you professional advice of any kind, directly or indirectly. All information conveyed in the Mentorship Programs is information in nature and is based on PHH and its owners’ years of experience in helping people heal through Jesus but is not a substitute for medical, legal, or other professional advice. If you encounter someone with a serious medical issue, whether physical or mental, please refer them to a medical professional. Finally, your use of any information contained in the Mentorship Programs is at your own risk, and you are solely responsible for the consequences of any such use.
Community Rules are listed in each Mentorship Level Facebook Group Under the GUIDES tab. If you are not following these community guidelines, we the COMPANY reserve the right to discontinue your access to the Mentorship Programs at any time for breach of these guidelines.
Section 2 – Information About PHH and our Mentorship Programs
PHH is the creation and life work of Elise and Jeremy Tarango, a Christ-centered couple who have assisted hundreds of people around the world encounter Jesus and receive the healing that only He can bring. Through Elise and Jeremy’s own personal healing journey, they discovered the transformative power of Christ-centered healing and are now inspired to help others do the same through their training programs, Mentorship Level 1: Foundations, Mentorship Level 2: Skills, Mentorship Level 3: Authority, Certification and Business Accelerator Courses.
PHH offers a Prophetic Heart Healing Mentorship with three levels (the “Mentorship Programs”) and an additional Certification opportunity, that, if certified, will enable you to start, continue, or grow your own Christ-centered heart healing business and provide better quality heart healing services to persons in need. The Mentorship Programs will train and prepare you to apply to conduct 1:1 heart healing sessions with clients (**note that the Mentorship Programs and Certification is not for group sessions or to become a PHH trainer**).
The Mentorship Programs is ideal for anyone who wants to:
● Gain knowledge of Prophetic Heart Healing; and help others in need.
● Use the gifts the Lord has given them
The Mentorship Programs will prepare you for the PHH Certification application process, where if certified, enable you to more successfully market yourself and your services, gain legitimacy by virtue of having completed the Mentorship Programs, and have a minimum suggested background in Prophetic Heart Healing so that you can be confident when providing services to those in need. After successfully completing all three Mentorship Levels, you will be able to start the PHH Certification Application process. If certified, you’ll then be considered a “Certified Prophetic Heart Healing Facilitator” which will allow you to conduct paid 1:1 Prophetic Heart Healing sessions.
In order to apply to be Certified with PHH, all PHH Mentorship Programs must be complete and requirements of each program met. Each of the program requirements are laid out below. *Additional requirements may be required at anytime at the sole discretion of the Prophetic Heart Healing Leadership:
Mentorship Level 1: Foundations
Successfully completing all of the PHH Mentorship Level 1 Training Lessons in Thinkific (both from Elise and Turok) and corresponding homework assignments. Reminder, completing homework INCLUDES live debriefs in the Mentorship FB group (more details in Training lessons).
Receive 8 1:1 inner healing sessions within the Mentorship Community
Be an active part in the Mentorship community
Have a positive recommendation from the Mentorship Level 1 Leadership team
*All Level 1 requirements MUST be completed before you can begin Level 2.
Mentorship Level 2: Skills
Attend weekly Q&A sessions with Elise and PHH Success Mentors- these are recorded so if you can’t make it live you can catch them on replay. These calls are currently at 3pm PST on Fridays via Facebook LIVE in the Mentorship Level 2: Skills Facebook Group.
Successfully completing all of the PHH Mentorship Level 2 Training Lessons in Thinkific (both from Elise and Turok) and corresponding homework assignments. Reminder, completing homework INCLUDES live debriefs in the Mentorship FB group (more details in Training lessons).
Observing and debriefing takeaways on two the two session demos in Mentorship Training Lessons - these will be in your Thinkific account.
Complete 24 Live Facilitations in PHH Sessions
Complete 24 Live Intersessions in PHH Sessions
Receive 8 personal PHH Sessions (to be facilitated by peers in the Mentorship community. )
Complete the Mentorship Quiz at the end of the Training Lessons and receive at least a 70%.
Positive recommendation from both your community group leader and Mentorship Community Liaison
Once complete with all requirements, these must be turned in to admin@prophetichearthealing.com to be reviewed before being moving on to Mentorship Level 3.
*All Level 1 and Level 2 requirements MUST be completed before you can begin Level 3
Mentorship Level 3: Authority
● 30+ Hours of facilitating PHH sessions [in addition to those completed in Mentorship Level 1 & 2];
● Receive 8+ personal PHH sessions [in addition to those completed in Mentorship Programs ];
● Interning with a PHH Leader in an Area of Service
● 2+ PHH Sessions to be OBSERVED (1 as FACILITATOR + 1 as RECIPIENT)
*To be observed by the PHH leadership
Be between an 8-10 on the PHH Personal Health Scale (agreed between both your M3 coach and yourself)
Positive recommendation from Level 3 leaders and your personal M3 coach.
Prophetic Heart Healing Certification Application Process
Applying to be Certified requires a $197 processing fee due at the time your are applying: Once you have successfully completed all three levels of the Prophetic Heart Healing Mentorship courses, and met each program’s requirements, you can apply to be certified with PHH.
The Prophetic Heart Healing Certification Application Process consists of (a) submitting your course trackers that verify your successful completion all of the Mentorship course Trainings and requirements (Mentorship Levels 1-3) and (b) passing the written application, which will determine whether or not you have acquired the sufficient background, knowledge, and skillset to become a Certified Prophetic Heart Healing Facilitator.
The Prophetic Heart Healing Certification Application Process, which is meant to assess your progress towards becoming a Certified Prophetic Heart Healing Facilitator, is the final step prior to becoming certified. Failure to pass the Prophetic Heart Healing Certification Application Process, or any other element(s) of the Mentorship Levels 1-3 Trainings, will preclude you from becoming a Certified Prophetic Heart Healing Facilitator.
If you have adequately shown that you have acquired the sufficient background, knowledge, and skillset to become a Certified Prophetic Heart Healing Facilitator, you will then become a Certified Prophetic Heart Healing Facilitator and equipped to conduct your own 1:1 Christ-centered heart healing practice.
PLEASE NOTE: If at any point once being certified PHH does not believe you are demonstrating the heart, values and character of a PHH Certified Facilitator, we reserve the right to un-certify you at our sole discretion and remove you from the community without refund.
**Please note that additional Required Prophetic Heart Healing Trainings may be added prior to or after your purchase of the Mentorship Programs, in the sole discretion of PHH, without prior notice. If PHH adds additional Required Training Programs after you purchased the Mentorship Programs, this will not alter the cost or the purchase price you have paid. If you have already enrolled in the Mentorship Programs, you will be notified of additional Required Trainings in writing. Any additional Required Trainings, if any, may be reflective of additional needs or deficiencies in the Mentorship Programs process, requests of current or past Prophetic Heart Healing Facilitators, or any other reason in the sole discretion of PHH**
Section 3 – Mentorship Programs Renewal
Please note that your Mentorship program access will be valid for the set times within the 12 months from the time of purchase:
Mentorship Level 1: (access for the first 3 months)
Mentorship Level 2: (access for the remainder of the year, months 3-12 *Level 1 requirements must be completed before you can begin Level 2)
Mentorship level 3: (last 6 months, months 6-12)
Because the PHH programs are largely based on being coached by the PHH team during the 12 months, all requirements must be completed during the time of each course (M1- 3 months, M2, 3 months, M3- 6 months). If you do not finish, you will need to re-enroll for the course to extend and pay the current course cost.
If Certified with Prophetic Heart Healing, your certification will be valid for only one (1) year from the time of your approved application.
If you would like to maintain Certified with PHH as a Certified Prophetic Heart Healing Facilitator, have access to our community, logo, branding, training videos, and other valuable resources of PHH, you will be required to complete each of the following (referred to herein collectively as the “Prophetic Heart Healing Certified Facilitator Requirements”):
● Complete one (1) check-in review with Elise and Jeremy(Turok) Tarango;
● Submit 1 facilitated session for review;
● Complete at least twenty-four (24) yearly facilitation sessions;
● Receive 6 sessions personally;
● Attend two (2) PHH events (online or in person) yearly;
● Remain in the PHH community and attend required monthly Certified Facilitator calls
● Review the PHH Mentorship Level 2 training content to stay up to date on what we are teaching yearly; and
● Pay the yearly Certification Renewal Fee fee of nine hundred and ninety seven dollars ($997.00) (the “Certification Renewal Fee”), that continues to give you access to Mentorship Level 2 and course content, and the Certified Facilitator community and events.
The Yearly Certified Facilitator Requirements can be completed at any time, before or after the one (1) year anniversary of your Certification. However, we strongly advise you to complete the Yearly Certified Facilitator Requirements prior to the one (1) year anniversary of your Certification. If your Yearly Certified Facilitator Requirements with PHH as a Certified Prophetic Heart Healing Facilitator lapses for more than a period of one (1) year, you may be required to re-complete all Prophetic Heart Healing Mentorship Program requirements, in the sole discretion of PHH.
Section 4 – Who Can Apply to be Certified with Prophetic Heart Healing
Our certification application process is open to those who have successfully completed the Prophetic Heart Healing Mentorship Programs all their requirements (listed above) and have completed all course payments. In order to be certified with PHH, you will need to successfully pass the application process, which is at the sole discretion of Elise and Jeremy(Turok) Tarango.
Section 5 – Cost
The cost of the individual Mentorship Programs can be found on our website at www.prophetichearthealing.com and the conference bundle cost: https://conference.phhmentorship.com/order-form (the “Program Cost”).
Payment for the Mentorship Programs must be made at the time of purchase, and can either be:
a. a one-time payment equal to the Program Cost; or
b. 12 equal payments (the “Payment Plan Method”) of one-twelth (1/12) of the Program Cost, plus an additional two hundred and fifty dollars and twenty five cents ($250.25) processing fee (“Processing Fees”) per payment (which is an additional cost of three thousand and three dollars ($3003.00) for the Payment Plan Method).
Payment for the Mentorship Programs can be made on our Website(s) at the time of purchase.
By selecting the Payment Plan Method, you hereby understand and agree that (a) you are responsible for and shall pay the entire cost of the Payment Plan Method including the Processing Fees; (b) you are required to provide us with a credit card authorization for twelve (3) equal payments of one-twelfth (1/12) of the Program Cost plus the Processing Fees; and (c) failing to pay any one of the twelve (12) equal payments of one-twelfth (1/12) of the Program Cost or the Processing Fees does not amount to a cancellation of the Mentorship Programs or your promise to pay the stated amounts which are and shall remain an obligation on your end until paid in full.
Section 6 – Continuing Obligations, What You Can and Cannot Do, and Limited License.
If you are certified by PHH as a Certified Prophetic Heart Healing Facilitator after successfully completing the Mentorship Programs and completing the PHH Certification Application Process, you will then have the tools to go out on your own, run your own business where you help others, and can conduct 1:1, individual, heart healing sessions helping others in need. We do not train nor certify you in group training sessions and becoming a Certified Prophetic Heart Healing Facilitator does not entitle you to certify others – only PHH can certify persons in Prophetic Heart Healing.
If you are certified by PHH as a Certified Prophetic Heart Healing Facilitator after successfully completing the Mentorship Programs and PHH Certification Application Process, you hereby understand, acknowledge, and agree that: (a) your certification as a Certified Prophetic Heart Healing Facilitator is only for 1:1, individual, heart healing sessions, and not for group sessions of any kind; (b) you are not permitted to train or coach in Prophetic Heart Healing or lead group Prophetic Heart Healing sessions without the express written permission of PHH; and (c) you are not a part of PHH and any business that you conduct with your certification will done in your name and not the name of PHH.
Below is a quick guide regarding what you can and cannot do with your Prophetic Heart Healing Certification, if certified. If you have any questions regarding what you can and cannot do, we recommend reaching out to PHH directly at admin@ prophetichearthealing.com.
What You Can Do:
1:1, individual, heart healing sessions
Create your own business advertising and marketing 1:1, individual, heart healing sessions
Use the Prophetic Heart Healing Certification in marketing and advertising materials
Recommend to your colleagues how the PHH Mentorship Programs helped you
What You Can’t Do:
Group Prophetic Heart Healing sessions under the name of PHH or representing to clients that you were certified by PHH in group training sessions*
Train or certify others in Prophetic Heart Healing
Enter into contracts on behalf of PHH
Represent to third-parties that you are part of PHH
Subject to maintaining Certification with PHH on an annual basis and not being in breach of these Terms, PHH grants to each Certified Prophetic Heart Healing Facilitator a limited, revocable, non-exclusive license to use the term “Prophetic Heart Healing” in connection with them owning, managing, running, or operating a prophetic heart healing business and only in connection with 1:1 training sessions. The license specifically does not include group training sessions. This license shall be granted for a Certified Prophetic Heart Healing Facilitator to use the term “Prophetic Heart Healing” on your social media accounts, store name, and marketing/advertising materials, subject to certain limitations found herein. The license granted herein does not give a Certified Prophetic Heart Healing Facilitator the right to use the term “Prophetic Heart Healing” on any merchandise, apparel, or other consumer items, or permit any third-party to do so on your behalf. This license granted herein may not be assigned, pledged, encumbered, or otherwise transferred by a Certified Prophetic Heart Healing Facilitator, voluntarily or involuntarily, by operation of law or otherwise, without PHH’s express written consent. Any attempt to transfer or assign the license granted herein will immediately and automatically terminate and void the license granted under this Agreement. Finally, PHH reserves the right to change, alter, modify, and revoke this license at any time and for any reason.
If Certified Prophetic Heart Healing Facilitator elects to use the words “Prophetic Heart Healing” in the name of his/her business, Certified Prophetic Heart Healing Facilitator is required to add a distinguishing or identifying term in the name, such as “Prophetic Heart Healing, San Jose” as to distinguish itself from PHH and other Certified Prophetic Heart Healing Facilitators. Certified Prophetic Heart Healing Facilitator, or his/her/its business may also refer to itself as a “Certified Prophetic Heart Healing Facilitator” or as the name as approved above, but may never refer to itself as being an authorized person, representative, or agent of PHH, and shall not permit its employees or workers to do so. All branding or names must be first approved by PHH before being used or implemented by Certified Prophetic Heart Healing Facilitator as to ensure that Certified Prophetic Heart Healing Facilitator is not using a name that conflicts with that of another Certified Prophetic Heart Healing Facilitator or PHH. PHH reserves the right to reject the proposed name of Certified Prophetic Heart Healing Facilitator’s business at PHH’s sole discretion.
Finally, if a Certified Prophetic Heart Healing Facilitator elects to use the term “Prophetic Heart Healing” in connection with his/her/its business, the Certified Prophetic Heart Healing Facilitator is required to include on all materials of any kind (including pamphlets, procures, social media accounts, etc.) the following disclaimer:
“Disclaimer - [ insert approved name ] is an independent third-party licensee of The Heart Healing Network LLC and is not an agent or representative of The Heart Healing Network LLC”
Section 7 – Terms of Sale
Our Mentorship Programs are more particularly described on our Website at the time of purchase. All prices shown for the Mentorship Programs are shown in U.S. Dollars. We reserve the right to change or amend our Mentorship Programs, or any of its rules or requirements at any time and will provide notice to you of any such changes, if any.
We do not and cannot guarantee certification with Prophetic Heart Healing by signing up for the Mentorship Programs or completing all training requirements. Certification with Prophetic Heart Healing is left in the sole discretion of Elise and Jeremy Tarango and will be based on (a) your adequate completion of the Required Mentorship Program Trainings and Certification Application; (b) your skillset, knowledge, and ability to effectively be a Certified Prophetic Heart Healing Facilitator; and (c) other intangibles which are left in the sole discretion of Elise and Jeremy Tarango.
We reserve the right to refuse Certification with Prophetic Heart Healing to anyone if we do not believe you have successfully completed the Mentorship Programs, if you have not met any or all of the Mentorship Programs guidelines, rules, or requirements, or if we believe that you are not ready to become a Certified Prophetic Heart Healing Facilitator.
We also reserve the right to discontinue your access to the Mentorship Programs or Certification at any time for breach of these Terms.
We also reserve the right to remove you from being a Certified Facilitator at any time. If we certify you and after the fact we see there are some things not lining up with the PHH heart and health standard, we reserve the right to remove the Certified Facilitator title from you and remove you from the PHH community.
Section 8 - Additional Payment Terms
When you provide us payment information, you represent and warrant that the information you provide is accurate, that you are authorized to use the payment method provided, and that you will notify us of changes to the payment information, if any.
We reserve the right to utilize third party payment card updating services to obtain current expiration dates on credit cards and debit cards. By providing a credit card, you represent and warrant that you authorize us to charge your payment method for all charges you incur for your purchase of the Mentorship Programs. You agree that you are responsible to pay for and will pay for all such charges. Failure to keep a valid payment method does not constitute cancellation of the Mentorship Programs and your obligation to pay will continue.
If your payment for the Mentorship Programs is rejected, we will have no obligation to provide you with the Program Materials. If we process your order and your payment is rejected or you later issue a chargeback for any reason, you will be responsible for ensuring full payment for all monies owed to PHH.
Failure to pay for all or any part of the Mentorship Programs will accrue interest at one percent (1%) per month until paid in full. PHH reserves the right to transfer any past-due balance to a collection agency or attorney. If your past-due balance (of any amount) is transferred to a collection agency or attorney, PHH shall be entitled to recover all costs and fees in collecting your past-due balance, including all reasonable attorneys’ fees and costs.
Section 9 – No Refunds
Once you have purchased our Mentorship Programs, we cannot offer a refund or cancellation of any kind.
The reason why we cannot offer a refund or cancellation of any kind is because once you have paid for the Mentorship Programs, you will have been granted access to Program Materials, any or all of which may be copied by you without our authorization or knowledge. As such, we strongly advise you to think about your purchase of the Mentorship Programs, whether or not you can incur this expense, and whether or not the Mentorship Programs is right for you, prior to purchase. Finally, there is no cooling-off period for your purchase of the Mentorship Programs which becomes non-refundable at the time of purchase and agreeing to these Terms, whether or not you have paid the full Cost of the Mentorship Programs at the time of purchase or enrolled in our Payment Plan Method.
Section 10 – Program Materials & License to Use
By paying for and purchasing our Mentorship Programs, you will gain access to all materials part of Mentorship Level 1, and each successive program as hereafter as requirements are completed (Level 2, and Level 3), now or hereinafter adopted (the “Program Materials”). Program Materials will be sent to you or you will gain access to them after paying for and signing up for our Mentorship Programs.
The Prophetic Heart Healing Mentorship Programs are for you and you alone, and cannot be exploited by others or yourself, except in pursuit of becoming a Certified Prophetic Heart Healing Facilitator, or maintaining your Certification.
Any unauthorized use by you of the Mentorship Programs automatically terminates this license without prejudice to any other remedy provided by applicable law or these Terms.
Section 11 - Relationship With PHH
It is understood and agreed that you are not an employee or agent of PHH. Nothing contained in this Agreement shall be regarded as creating an employment, joint venture, or partnership relationship between PHH and you.
You shall have no authority to bind PHH by any promise or representation unless specifically authorized in writing by PHH. You shall not represent to any third party or hold yourself out to any third party, as having such authority unless previously so authorized by PHH.
However, if you encounter someone that would like to join our Mentorship Programs, we recommend and encourage that you tell them about your experience with PHH and send them to our Website for information on the Programs!
Section 12 – No Guarantee & Obligations
By signing up for the Mentorship Programs and applying to be certified, you hereby acknowledge and agree that (a) PHH cannot and does not guarantee that you will become certified; (b) if you are certified, PHH does not and cannot guarantee any minimum number of clients or revenue; and (c) you are solely responsible for the running of your business and for complying with all laws, rules, and applicable regulations. (d) we reserve the right to un-certify you at any time at our sole discretion with no refund if we do not believe you are carrying the heart, value and character of a PHH Certified Facilitator.
Section 13 - Disclaimer
OUR Mentorship Programs ARE provided 'as is' and, to the extent permitted by applicable law, PHH and its directors, officers, employees, agents, representatives, and affiliates, exclude all representations or warranties of any kind, express or implied including, but not limited to, implied warranties of merchantability, satisfactory quality, and fitness for a particular purpose.
Section 14 – Limitation of Liability
PHH shall not be liable for delay or failure in performance for causes beyond our control or any other damage which does not result from a breach of our obligations under these Terms.
WE SHALL NOT BE LIABLE TO YOU FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, NOR SHALL WE BE HELD LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND OUR REASONABLE CONTROL. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION EXCEED FIFTY DOLLARS ($50.00).
YOU AGREE THAT NO CLAIMS OR ACTION IN CONTRACT, WARRANTY, OR IN TORT (INCLUDING NEGLIGENCE) ARISING OUT OF, OR RELATED TO, THE USE OF OUR MENTORSHIP PROGRAMS OR CERTIFICATION MAY BE BROUGHT MORE THAN ONE (1) YEAR AFTER THE CAUSE OF ACTION RELATING TO SUCH CLAIM OR ACTION AROSE. IF YOU ARE DISSATISFIED WITH OUR SERVICES, TERMINATION IS YOUR SOLE REMEDY. WE HAVE NO OTHER OBLIGATION, LIABILITY, OR RESPONSIBILITY TO YOU.
Section 15 – Indemnification
You agree to defend, indemnify and hold PHH, its agents, employees, directors, officers, owners, etc. harmless for any loss, damages or costs, including reasonable attorneys' fees, resulting from any claim, action, or demand arising from (i) your use of our Mentorship Programs and Certification; (ii) your acts or omissions in running your heart healing business if certified, and (iii) your breach of these Terms.
Section 16 – General Provisions
a. Entire Agreement. These Terms contains the entire agreement between you and PHH as it pertains to the Mentorship Programs and Certification if you choose to apply and get accepted as a Prophetic Heart Healing Certified Facilitator.
a. Waiver. The failure by PHH to enforce any provision of these Terms shall not be construed as a waiver or limitation of our right to subsequently enforce and compel strict compliance with every provision of this Agreement.
a. Applicable Law/Dispute Resolution. These Terms shall be governed by the laws of the State of California. Except for your non-payment of any monies owed, any dispute arising from these Terms shall be subject to binding arbitration. The prevailing Party in any dispute shall be entitled to recover its/his/her reasonable attorney’s fees and costs. The governing rules shall be the rules, then-implemented, by the American Arbitration Association commercial division. PHH and you agree that any such final decisions may be presented to a court of competent jurisdiction for purposes of being confirmed as a judgment enforceable under the law in which that party is domiciled or where their headquarters are located.
a. Class Action Waiver . To the extent permitted by applicable law, you and PHH agree that any dispute arising out of these Terms or the Mentorship Programs is personal to you and PHH and that any disputes, if any, will be resolved solely through individual arbitration (except for non-payment by you), and will not be brought as a class arbitration, class action or any other type of similar proceeding.
a. Notices. All notices should be sent via email to admin@prophetichearthealing.com.
a. Severability. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If an arbitrator or panel of arbitrators finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
