PHH Programs Terms and Conditions

TERMS AND CONDITIONS OF PURCHASE
THESE TERMS ARE IMPORTANT AND AFFECT YOUR LEGAL RIGHTS. PLEASE CAREFULLY READ THESE TERMS AND CONDITIONS OF PURCHASE PRIOR TO PURCHASING OUR CERTIFICATION PROGRAM. THIS IS A LEGALLY BINDING AGREEMENT. BY PURCHASING OUR CERTIFICATION PROGRAM, YOU EXPLICITLY AGREE TO ALL OF THE TERMS FOUND HEREIN. THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE. PLEASE READ THESE TERMS AND THE ARBITRATION PROVISION SO THAT YOU ARE AWARE OF YOUR LEGAL RIGHTS.
Section 1 – Introduction & Consent to Terms
Welcome to The Heart Healing Network LLC, a California limited liability company aka Prophetic Heart Healing’s (referred to herein as “PHH”, “we”, “us”, or “our”) Terms and Conditions of Purchase (referred to herein as the “Terms” or the “Agreement”). This is a legally binding contract between PHH, and you, the signatory to these Terms (herein “you”).
All purchasers of our Certification Course (as defined below) or our Certified Facilitator Business Accelerator Course (as defined below) (collectively our “Certification Program”) are required to agree to these Terms prior to purchase. If you do not agree with all the provisions found in these Terms, we ask that you do not purchase our Certification Program. By purchasing our Certification Program, you agree that you have read and understood these terms and agree to be bound by these Terms.
We reserve the right to modify the contents of these Terms at any time. You agree that it is your responsibility to monitor changes to these Terms. Any significant modification to these Terms will be notated at the top of these Terms.
We look forward to having you join our Certification Program!
Section 2 – Disclaimers and No Guarantee.
Nothing contained in these Terms or our Certification Program shall be construed as providing you professional advice. All information conveyed in our Certification Program is information in nature and is based on PHH and its owners’ years of experience in helping people heal through Jesus. No information we convey to you is a substitute for medical, legal, or other professional advice. Your use of any information contained in our Certification Program is at your own risk.
PHH makes no guarantees about your ability to become certified – even if you take our Certification Course. Your ability to become certified will be based on your compliance with the Certification Program and your compliance with these Terms.
PHH makes no assurances, representations, or promises regarding future earnings or income, or that you will make any specific amount of money or any money at all as a result of purchasing our Certification Program. Earnings or income statements, or examples of earnings or income, represent estimates of what you may earn and are based on past results with certain clients. Prior success or past results are not an indication of your future success or results.
Statements or examples of actual earnings on our website and are true and correct to our best belief and knowledge. We may use examples from some of our best achieving clients, so the results you see on our website may not be typical. Past examples of earnings are not promises or guarantees of earnings or income.
By signing up for the Certification Program, you hereby acknowledge and agree that (a) PHH cannot and does not guarantee that you will become certified; (b) if you are certified, PHH does not and cannot guarantee any minimum number of clients or revenue; and (c) you are solely responsible for the running of your business and for complying with all laws, rules, and applicable regulations.
WE DO NOT AND CANNOT GUARANTEE ANY SPECIFIC OR MINIMUM RESULTS FROM YOUR USE OF OUR CERTIFICATION PROGRAM. WHILE WE HAVE A TRACK RECORD OF ASSISTING MANY CLIENTS LAUNCH THEIR HEALING CAREERS OR BUSINESSES, THE UNDERLYING SUCCESS OF OUR CLIENTS ULTIMATELY DEPENDS ON MANY FACTORS OUTSIDE OF OUR CONTROL. NO AMOUNT OF COMPENSATION PAID BY YOU IS TIED TO A RESULT OF USING OUR CERTIFICATION PROGRAM OR ANY DESIRED RESULTS THEREFROM. WE DO NOT OFFER REFUNDS FOR OUR CERTIFICATION PROGRAM. ALL SALES ARE FINAL.
Community Rules are listed in each PHH Program’s Facebook Group Under the GUIDES tab as well as your welcome email. If you are not following these community guidelines, we the COMPANY reserve the right to discontinue your access to the PHH Programs at any time for breach of these guidelines without refund.
Section 3 – Background Information About PHH and our Certification Program
PHH is the creation and life work of Elise and Turok Tarango, a Christ-centered couple who have assisted hundreds of people around the world encounter Jesus and receive his formidable healing powers. Through Elise and Turok’s own personal healing journey, they discovered the transformative power of Christ-centered healing and are now inspired to help others do the same through our Certification Program.
PHH offers a prophetic heart healing certification course that, if certified, will enable you to start, continue, or grow your own Christ-centered heart healing business and provide better quality heart healing services to persons in need.
Please note that the Certification Course does not certify you for group sessions or to become a PHH Trainer.
Only if you are (1) Certified after taking our Certification Course; and (2) are enrolled in or Certified after taking our Certified Facilitator Business Accelerator Course, are you certified for group sessions. Signing up for our Certified Facilitator Business Accelerator Course prior to or during your Certification Course does not certify you for group sessions. Becoming Certified after taking out Certification Course does not certify you for group sessions.
The Certification Program is ideal for anyone who wants to:
Gain knowledge of Prophetic Heart Healing; and help others in need;
Use the gifts the Lord has given them; or
Start a heart healing practice of their own.
The Certification Program will enable you to prepare for the PHH Certification application process, where, if certified, will enable you to market yourself and your services, gain legitimacy more successfully by virtue of having completed the Certification Program, and have a minimum suggested background in prophetic heart healing so that you can be confident when providing services to those in need. The Certification Program, if you are certified, allows you to become a “Certified Prophetic Heart Healing Facilitator” which will allow you to conduct prophetic heart healing sessions.
While our Certification Program is generally open to all who seek to help others by facilitating 1:1 Christ-centered heart healing practices, we do have some restrictions on who can sign up for our Certification Program. In order to sign up for our Certification Program, you must be: (a) at least eighteen (18) years of age; (b) have a working computer and smartphone; and (c) have the passion and motivation to meet, help, inspire, and listen to others (d) have gone through your own personal heart healing journey and be at a healthy place to start helping others heal. That’s it!
If you qualify for these four qualifications, we look forward to seeing you as an enrollee of our Certification Program!
We do not and cannot guarantee certification by signing up for the Certification Course or completing all training requirements. Certification is left in the sole discretion of Elise and Turok Tarango and will be based on (a) your adequate completion of the Required Certification Trainings; (b) your skillset, knowledge, and ability to effectively be a Certified Prophetic Heart Healing Facilitator; and (c) other intangibles which are left in the sole discretion of Elise and Turok Tarango.
We reserve the right to refuse certification to anyone if we do not believe you have successfully completed the Certification Course, if you have not met any or all of the Certification Course guidelines, rules, or requirements, or if we believe that you are not ready to become a Certified Prophetic Heart Healing Facilitator.
We also reserve the right to discontinue your access to the Certification Program at any time for breach of these Terms.
Section 4 – Our Certification Course.
In order to apply to be Certified with PHH, all PHH enrollee’s must complete all requirements of the Certification Course within twelve (12) months from signing up. Please note that your license to use the materials from your Certification Course expires at the conclusion of the 12-month period. Once this 12-month period has expired, you will need to purchase a new license for the Certification Course, otherwise we will have no obligation to provide you access to the Certification Course after expiration of your 12 month license.
The Certification Course requirements are laid out below:
Prep Course Foundations Level (Level 1):
Successfully completing all of the Prep Course Training Lessons in Thinkific (both from Elise and Turok) and corresponding homework assignments. Reminder, completing homework INCLUDES live debriefs in the private Certification Course Facebook group;
Receive a minimum 6 group session in our Healing Vault Archives;
Be an active part in the PHH community; and
Have a positive recommendation from the PHH Leadership team.
*All Prep Course requirements MUST be completed before you can begin the Skills Level. Once complete with all requirements, these must be turned in to studentsupport@prophetichearthealing.com to be reviewed before moving on to Skills Level.
Skills Level (Level 2):
Attend weekly Family Time Q&As;
Successfully completing all of the Skills Training Lessons in Thinkific (both from Elise and Turok) and corresponding homework assignments.
Observing and debriefing takeaways on two of the session demos in Skills Training Lessons.
Complete 24 Live Facilitations in PHH Sessions;
Complete 24 Live Intercessions in PHH Sessions;
Receive 8 personal PHH Sessions (to be facilitated by peers in the PHH community);
Complete the Skills Quiz at the end of the Training Lessons and receive at least a 70%; and
Positive recommendation from PHH Leadership
Once complete with all requirements, these must be turned in to studentsupport@prophetichearthealing.com to be reviewed before moving on to Authority Level.
*All Prep Course Foundations and Skills Level requirements MUST be completed before you can begin Authority Level.
Authority Level (Level 3):
30+ Hours of facilitating PHH sessions [in addition to those completed in Skills Level];
Receive 8+ personal PHH sessions (in addition to those completed in Prep Course & Skills Level);
3 meetings with your PHH Certification coach;
2+ PHH Sessions to be OBSERVED (1 as facilitator + 1 as recipient);
Be between an 8-10 on the PHH Personal Health Scale (agreed between both your Authority coach and yourself); and
Positive recommendation from Level 3 leaders and your personal Authority coach.
Authority Level requires a live weekly zoom call with PHH Leadership each week. This portion of the program opens 3 times (3x) a year, and you can join the next class as soon as your Prep Course & Skills Level requirements are completed.
**Please note that additional Required Certification Trainings may be added prior to or after your purchase of the Certification Course, in the sole discretion of PHH, without prior notice. If PHH adds additional Required Certification Trainings after you purchased the Certification Course, this will not alter the cost or the purchase price you have paid. If you have already enrolled in the Certification Course, you will be notified of additional Required Certification Trainings in writing. Any additional Required Certification Trainings, if any, may be reflective of additional needs or deficiencies in the certification process, requests of current or past Prophetic Heart Healing Facilitators, or any other reason in the sole discretion of PHH**
Once you have completed the entire Certification Course, you can then apply to become “Certified” as a Certified Prophetic Heart Healing Facilitator with PHH.
Section 5 – Application Process to Become Certified.
Applying to be Certified requires payment of our processing fee, which can be found at www.phhcertification.com, and is due at the time you are applying. Once you have successfully completed all three levels of the Certification Course, and met each program’s requirements, you can apply to be Certified with PHH.
The Prophetic Heart Healing Certification Application Process consists of (a) submitting your course trackers that verify your successful completion all of the course trainings and requirements (Prep Course- Authority Levels) and (b) passing the written application, which will determine whether or not you have acquired the sufficient background, knowledge, and skillset to become a Certified Prophetic Heart Healing Facilitator, (c) submitting a facilitated session and a receiving session for review (recording), (d) pass a live interview with Level 3 Leadership.
The Prophetic Heart Healing Certification Application Process, which is meant to assess your progress towards becoming a Certified Prophetic Heart Healing Facilitator, is the final step prior to becoming certified. Failure to pass the Prophetic Heart Healing Certification Application Process, or any other element(s) of the Certification Program will preclude you from becoming a Certified Prophetic Heart Healing Facilitator.
If you have adequately shown that you have acquired the sufficient background, knowledge, and skillset to become a Certified Prophetic Heart Healing Facilitator, you will then become a Certified Prophetic Heart Healing Facilitator and equipped to conduct your own 1:1 Christ-centered heart healing practice.
PLEASE NOTE: If at any point once being certified PHH does not believe you are demonstrating the heart, values and character of a PHH Certified Facilitator, we reserve the right to un-certify you at our sole discretion and remove you from the community without refund. If you have been un-certified, your license to use our Marks and to conduct 1:1 prophetic heart sessions will immediately terminate.
PLEASE ALSO NOTE: Becoming Certified after taking our Certification Course does not permit you to conduct group sessions. Only if you are (1) Certified after taking our Certification Course; and (2) are enrolled in or are Certified after taking our Certified Facilitator Business Accelerator Course, are you certified for group sessions
If you are Certified, you agree that it is your responsibility to adhere to the terms contained herein, the general guidelines set into place by PHH, as well as applicable law.
Section 6 – Yearly Certification Renewal.
Please note that your certification with PHH as a Certified Prophetic Heart Healing Facilitator shall be valid for only one (1) year from the time of your certification.
If you would like to maintain certification with PHH as a Certified Prophetic Heart Healing Facilitator, have access to our community, logo, branding, training videos, and other valuable resources of PHH, you will be required to complete each of the following (referred to herein collectively as the “Yearly Certification Requirements”):
Complete one (1) check-in review with PHH Leadership;
Submit 1 facilitated session for review;
Complete at least twenty-four (24) yearly facilitation sessions;
Receive 8 sessions personally;
Attend two (2) PHH events (online or in person) yearly;
Attend at least 6 month CF calls;
Attend weekly Family Time sessions with the Tarangos & PHH leadership to stay current with PHH teachings;
Review the PHH training content of Skills to stay up to date on what we are teaching; and
Pay the yearly certification fee, as listed on our Website (the “Yearly Certification Fee”).
The Yearly Certification Requirements can be completed at any time, before or after the one (1) year anniversary of your certification. However, we strongly advise you to complete the Yearly Certification Requirements prior to the one (1) year anniversary of your certification. If your certification with PHH as a Certified Prophetic Heart Healing Facilitator lapses for more than a period of one (1) year, you may be required to re-complete all certification requirements, in the sole discretion of PHH.
Section 7 - Our Certified Facilitator Business Accelerator Course.
In addition to the Certification Course, we also offer our Certified Facilitator Business Accelerator Course (or “CFBA”) which will give you tools, insights, tips, and tricks to start your own prophetic heart healing business, and in which you may also receive PAID client bookings (if Certified), subject to the terms of this Agreement and the program guidelines.
Upon purchasing CFBA you have 12 months from the time of purchase access to the CFBA Program and all it includes. Please note that your license to use the materials from your CFBA expires at the conclusion of the 12-month period. Once this 12-month period has expired, you will need to purchase a new license for the CFBA, otherwise we will have no obligation to provide you continued access to the CFBA after expiration of this license.
Our Certified Facilitator Business Accelerator Course includes:
Training in our 5 Key Healer Launch Proven Framework for acquiring the RIGHT clients.
The Business Roadmap Course with 140 modules to kickstart your healing business.
Training lessons created by Elise & Turok with specific training on establishing a heart healing practice from their personal experience.
Monthly group coaching sessions with Elise & Turok with hot-seat opportunities to get breakthrough for your own PHH business.
Private Facebook Community for Business Accelerator Students.
A comprehensive sales course by Turok: Complete with outbound & inbound heart healing specific sales script, proven sales process course, objection handling portal, & day to day sales calendar.
Weekly business Q&A with Turok.
Group Inner Healing Session training with Elise (Once Certified and enrolled in the CFBA).
Opportunities to receive PAID sessions through PHH (Once Certified).
** PHH reserves the right to, without prior notice, to add, remove, or modify any inclusions in the Certified Facilitator Business Accelerator Course reason in the sole discretion of PHH**
Please note that you are NOT required to complete the Certified Facilitator Business Accelerator Course in order to be certified by PHH. However, certification (or signing up for our Certification Program) is a requirement of our Certified Facilitator Business Accelerator Course.
The following terms apply only if you are referred paid client bookings as a part of the CFBA:
In addition to the Certified Facilitator Business Accelerator Course inclusions listed above, we may provide you with potential or actual clients for your own prophetic heart healing business. Please note that we will only refer you with potential or actual clients for your own prophetic heart healing business if you are an enrollee in the CFBA and have been certified through our Certification Course.
All referred clients are the clients of PHH and not you or your business. To the extent that you are referred paid clients as part of your participation in the CFBA, you agree that your services to them are contracted services though PHH and that, while the clients are the clients of PHH, as an outside third-party service provider, you are solely responsible for your conduct of your own business, including the servicing of PHH’s clients.
It is a BONUS to receive paid clients through PHH - not all enrollees will receive paid clients. No part of the fee you pay us is tied to receiving referrals of our clients. You are not guaranteed any number of referrals or sessions by contracting with PHH to receive paid clients. You are paid $50 per session and are paid even if the client does not show up. You are not paid extra if your session goes long. If your calendar is not kept up to date or we have any issues with you as an outside service provider, we can remove you from this rotation at any time and your CFBA program contract still remains.
To the extent that we refer you with potential or actual clients for your own prophetic heart healing business, you understand and agree that the services you provide are of your own separate business and not a part of PHH. While PHH is providing Certified Prophetic Heart Healing Facilitator’s with a license to use our mark and our materials in connection with you running your own separate business, you are not a part of PHH and cannot bind PHH by any of your actions or inactions. These Terms do not create an employer-employee relationship, partnership, joint venture, franchisee, or other vicarious relationship. You may not make any representation, warranty, or promise on PHH’s behalf, all of which are expressly prohibited.
If you leave the CFBA program at any time you cannot take the PHH clients with you as they are PHH’s clients and not your clients. You agree that if you solicit one of our PHH clients to leave his/her engagement with PHH and work directly with you, you agree to pay a solicitation fee equal to all money you receive from the client, less $50 per session. You agree that this amount owed to PHH is not a penalty but is a fair estimation of the damages PHH will incur as a result of you soliciting its clients.
To the extent that PHH refers you with one or more potential or actual clients, you agree to indemnify and hold PHH and its agents, employees, directors, officers, owners, etc. harmless for any loss, damages or costs, including reasonable attorneys' fees, resulting from any claim, action, or demand arising from (i) your own separate business endeavors; (ii) your breach of these Terms; or (iii) your breach of applicable law.
Below are our “Community Guidelines” for your servicing of a PHH client referral:
At all times, treat others the way you would like to be treated;
Keep communications, at all times, professional;
Refrain from using inflammatory, aggressive, or hostile language;
Show up on time to your meeting or engagement;
Do not treat others differently based on their immutable characteristics.
You are prohibited from using your Certification or participation in our Certified Facilitator Business Accelerator Course to service PHH clients:
for any unlawful purpose;
to solicit others to perform or participate in any unlawful acts;
to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; or
for any obscene or immoral purpose.
We reserve the right to terminate your Certification or your use of our Certified Facilitator Business Accelerator Course for violating any of these community guidelines.
PHH makes no assurances, representations, or promises regarding clients, earnings, or income, or that you will make any specific amount of money or any money at all as a result of purchasing our Certified Facilitator Business Accelerator Course or being referred potential or actual clients.
All information contained in our Certified Facilitator Business Accelerator Course is not a substitute for professional legal or financial advice. All information contained in our Certified Facilitator Business Accelerator Course is at your own risk and is not designed to be solely relied upon.
Section 8 – Cost and Payment Terms.
The cost of our Certification Course or our Certified Facilitator Business Accelerator Course can be found on our Website at https://www.prophetichearthealing.com/training/phh-certification-program and/or https://phhcfba.com/businessaccelerator (the “Program Cost”).
Payment for the Certification Program must be made at the time of purchase, and can either be:
a one-time payment equal to the Program Cost; or
12 equal payments (the “Payment Plan Method”) of one-twelfth (1/12) of the Program Cost, plus an additional processing fee as listed on our Website (“Processing Fees”) if you choose Payment Plan Method).
Payment for the Certification Course can be made on our Website(s) at the time of purchase.
By selecting the Payment Plan Method, you hereby understand and agree that (a) you are responsible for and shall pay the entire cost of the Payment Plan Method including the Processing Fees; (b) you are required to provide us with a credit card authorization for twelve (3) equal payments of one-twelfth (1/12) of the Program Cost plus the Processing Fees; and (c) failing to pay any one of the twelve (12) equal payments of one-twelfth (1/12) of the Program Cost or the Processing Fees does not amount to a cancellation of the Certification Course or your promise to pay the stated amounts which are and shall remain an obligation on your end until paid in full.
If you would like to avoid additional processing fees, you are welcome to pay off the remainder of your payment plan within the first 30 days of enrolling. Please note, if you would like to pay off the remainder of your payment plan after the first 30 days, you will be responsible for the processing fees associated with your 12-month payment plan commitment.
If your payment for the Certification Program is rejected, we will have no obligation to provide you with the Program Materials. If we process your order and your payment is rejected or you later issue a chargeback for any reason, you will be responsible for ensuring full payment for all monies owed to PHH.
By providing a credit card, you represent and warrant that you authorize us to charge your payment method for all charges you incur for your purchase of the Certification Program. You agree that you are responsible to pay for and will pay for all such charges. When you provide us payment information, you represent and warrant that the information you provide is accurate.
Failure to pay for all or any part of the Certification Program will accrue interest at one percent (1%) per month until paid in full. PHH reserves the right to transfer any past-due balance to a collection agency or attorney. If your past-due balance (of any amount) is transferred to a collection agency or attorney, PHH shall be entitled to recover all costs and fees in collecting your past-due balance, including all reasonable attorneys’ fees and costs.
Section 9 – Continuing Obligations, What You Can and Cannot Do, and Limited License.
If you are certified by PHH as a Certified Prophetic Heart Healing Facilitator after successfully completing the Certification Course and completing the PHH Certification Application Process, you will then have the tools to go out on your own, run your own business where you help others, and can conduct 1:1, individual, heart healing sessions helping others in need. We do not train nor certify you in group training sessions and becoming a Certified Prophetic Heart Healing Facilitator does not entitle you to certify others – only PHH can certify persons in Prophetic Heart Healing.
If you are certified by PHH as a Certified Prophetic Heart Healing Facilitator after successfully completing the Certification Course and PHH Certification Application Process, you hereby understand, acknowledge, and agree that: (a) your certification as a Certified Prophetic Heart Healing Facilitator is only for 1:1, individual, heart healing sessions, and not for group sessions of any kind; (b) you are not permitted to train or coach in Prophetic Heart Healing or lead group Prophetic Heart Healing sessions without the express written permission of PHH; and (c) you are not a part of PHH and any business that you conduct with your certification will done in your name and not the name of PHH.
Only if you are (1) Certified after taking our Certification Course; and (2) are enrolled in or are Certified after taking our Certified Facilitator Business Accelerator Course, are you certified for group sessions.
Below is a quick guide regarding what you can and cannot do with your Prophetic Heart Healing Certification, if certified.

*if you would like to conduct group training sessions, you can do so but (a) are not permitted to do so under the PHH branding or Marks; and (b) cannot represent to any clients or the general public that your certification with PHH covers group training sessions, which it does not
Subject to maintaining Certification with PHH on an annual basis and not being in breach of these Terms, PHH grants to each Certified Prophetic Heart Healing Facilitator a limited, revocable, non-exclusive license to use the term “Prophetic Heart Healing” in connection with them owning, managing, running, or operating a prophetic heart healing business and only in connection with 1:1 training sessions. The license specifically does not include group training sessions. This license shall be granted for a Certified Prophetic Heart Healing Facilitator to use the term “Prophetic Heart Healing” on your social media accounts, store name, and marketing/advertising materials, subject to certain limitations found herein. The license granted herein does not give a Certified Prophetic Heart Healing Facilitator the right to use the term “Prophetic Heart Healing” on any merchandise, apparel, or other consumer items, or permit any third-party to do so on your behalf. This license granted herein may not be assigned, pledged, encumbered, or otherwise transferred by a Certified Prophetic Heart Healing Facilitator, voluntarily or involuntarily, by operation of law or otherwise, without PHH’s express written consent. Any attempt to transfer or assign the license granted herein will immediately and automatically terminate and void the license granted under this Agreement. Finally, PHH reserves the right to change, alter, modify, and revoke this license at any time and for any reason.
If Certified Prophetic Heart Healing Facilitator elects to use the words “Prophetic Heart Healing” in the name of his/her business, Certified Prophetic Heart Healing Facilitator is required to add a distinguishing or identifying term in the name, such as “Prophetic Heart Healing, San Jose” as to distinguish itself from PHH and other Certified Prophetic Heart Healing Facilitators. Certified Prophetic Heart Healing Facilitator, or his/her/its business may also refer to itself as a “Certified Prophetic Heart Healing Facilitator” or as the name as approved above but may never refer to itself as being an authorized person, representative, or agent of PHH, and shall not permit its employees or workers to do so. All branding or names must be first approved by PHH before being used or implemented by Certified Prophetic Heart Healing Facilitator as to ensure that Certified Prophetic Heart Healing Facilitator is not using a name that conflicts with that of another Certified Prophetic Heart Healing Facilitator or PHH. PHH reserves the right to reject the proposed name of Certified Prophetic Heart Healing Facilitator’s business at PHH’s sole discretion.
Finally, if a Certified Prophetic Heart Healing Facilitator elects to use the term “Prophetic Heart Healing” in connection with his/her/its business, the Certified Prophetic Heart Healing Facilitator is required to include on all materials of any kind (including pamphlets, procures, social media accounts, etc.) the following disclaimer:
“Disclaimer - [ insert approved name] is an independent third-party licensee of The Heart Healing Network LLC and is not an agent or representative of The Heart Healing Network LLC”
Section 10 – No Refunds.
Once you have purchased our Certification Program, we cannot offer a refund or cancellation of any kind.
The reason why we cannot offer a refund or cancellation is because once you have paid for the Certification Program, you will have been granted access to all Program Materials, any or all of which may be copied by you without our authorization or knowledge. As such, we strongly advise you to think about your purchase of the Certification Program, whether or not you can incur this expense, and whether or not the Certification Program is right for you, prior to purchase.
Finally, there is no cooling-off period for your purchase of the Certification Program which becomes non-refundable at the time of purchase and agreeing to these Terms, whether or not you have paid the full Cost of the Certification Program at the time of purchase or enrolled in our Payment Plan Method.
Section 11 – Program Materials & License to Use.
By paying for and purchasing our Certification Program, you will gain access to all materials made part of the Certification Program, now or hereinafter adopted (the “Program Materials”). All Program Materials will be sent to you or you will gain access to them after paying for and signing up for our Certification Program.
With the purchase of the Certification Program, you are granted a limited, non-exclusive, non-transferrable, revocable license to use the Certification Program which includes but is not limited to all content, creations, videos, writings, audio, and otherwise found in or in connection with the Certification Program. You hereby acknowledge and agree that PHH is the sole owner of the Certification Program and all content found within or in connection thereto. The license granted to you shall not be construed to create or grant any rights of ownership to you in the Certification Program, or any content found therein. The license granted to you does not include the right to sublicense, transfer to a third-party, or any right to make, have made, develop, produce, reproduce, or exploit commercially our Certification Program, directly or indirectly, including any and all intellectual property derived therefrom or any of the content of the Certification Program except as specifically set forth in these Terms.
The license we grant to you to use the Certification Program is for you and you alone, and cannot be exploited by others or yourself, except in pursuit of becoming a Certified Prophetic Heart Healing Facilitator, or maintaining your certification.
Any unauthorized use by you of the Certification Program automatically terminates this license without prejudice to any other remedy provided by applicable law or these Terms.
Section 12 - Relationship With PHH.
It is understood and agreed that you are not an employee or agent of PHH. Nothing contained in this Agreement shall be regarded as creating an employment, joint venture, or partnership relationship between PHH and you.
You shall have no authority to bind PHH by any promise or representation unless specifically authorized in writing by PHH.
However, if you encounter someone that would like to join our Certification Program, we recommend and encourage that you tell them about your experience with PHH and send them to our Website for information on our Certification Program!
Section 13 – Your Content and Testimonials.
If you send submissions of any kind, with or without a request from us, including ideas, suggestions, proposals, plans, or other materials, whether online, by email, or otherwise (“Submissions”), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any Submissions that you forward to us.
This does not include any information that you send to us when signing up for a Certification Program. This would include, for example: ideas of how to improve our Certification Program.
We are and shall be under no obligation (1) to maintain any Submissions in confidence; (2) to pay compensation to you for any Submissions; or (3) to respond to any Submissions. By you submitting Submissions to us, you hereby transfer and assign any claim to any rights that you may have had in those Submissions and do so with full acknowledgment of the same.
You agree that your Submissions will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. We take no responsibility and assume no liability for any Submissions submitted by you.
If you leave a review or provide a testimonial to PHH, you grant to PHH an irrevocable, worldwide, perpetual, and fully paid-up license to use all testimonials given by you to PHH, if any, including parts thereof, on PHH’s website, social media accounts, and platforms now in effect or hereinafter created, for promotional and and/or marketing purposes. This license also includes the right for PHH to use your name, initials, photo (if provided) and/or location in connection with your testimonial.
To the fullest extent permitted by law, you waive all rights of publicity or pre-approval in connection with the use of your testimonial given and your likeness contained therein. You waive any right to royalties or compensation of any kind arising out of the use of your likeness in connection with PHH’s promotional and marketing purposes.
Section 14 – General Disclaimer.
OUR CERTIFICATION PROGRAM IS PROVIDED 'AS IS' AND, TO THE EXTENT PERMITTED BY APPLICABLE LAW, PHH AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, AND AFFILIATES, EXCLUDE ALL REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, AND FITNESS FOR A PARTICULAR PURPOSE.
Section 15 – Limitation of Liability.
PHH shall not be liable for delay or failure in performance for causes beyond our control or any other damage which does not result from a breach of our obligations under these Terms.
WE SHALL NOT BE LIABLE TO YOU FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, NOR SHALL WE BE HELD LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND OUR REASONABLE CONTROL. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION EXCEED FIFTY DOLLARS ($50.00).
YOU AGREE THAT NO CLAIMS OR ACTION IN CONTRACT, WARRANTY, OR IN TORT (INCLUDING NEGLIGENCE) ARISING OUT OF, OR RELATED TO, THE USE OF OUR CERTIFICATION PROGRAM MAY BE BROUGHT MORE THAN ONE (1) YEAR AFTER THE CAUSE OF ACTION RELATING TO SUCH CLAIM OR ACTION AROSE. IF YOU ARE DISSATISFIED WITH OUR SERVICES, TERMINATION IS YOUR SOLE REMEDY. WE HAVE NO OTHER OBLIGATION, LIABILITY, OR RESPONSIBILITY TO YOU.
Section 16 – Indemnification.
You agree to defend, indemnify and hold PHH, its agents, employees, directors, officers, owners, etc. harmless for any loss, damages or costs, including reasonable attorneys' fees, resulting from any claim, action, or demand arising from (i) your use of our Certification Program; (ii) your acts or omissions in running your heart healing business, and (iii) your breach of these Terms.
Section 17 - Data Security.
PHH will maintain and enforce information and data privacy and security procedures with respect to its access, use and storage of all Data (as defined below) that (a) are at least equal to industry standards, and (b) comply with applicable federal, state, and local laws. For purposes of these Terms, “Data” means all data, content, materials, and other information provided by you in connection with our Certification Program.
PHH will promptly report to you any breaches of security or unauthorized access to PHH systems that PHH detects or becomes aware of. PHH will use diligent efforts to remedy such breach of security or unauthorized access in a timely manner.
You understand and acknowledge that no security system is impenetrable and subject to PHH’s negligence, PHH shall have no liability for a security breach involving your Data.
Section 18 – Opt-In to Receive Electronic Communications.
By signing up for our Certification Program, you explicitly consent to receive marketing and other communications related to our services, promotions, deals, newsletters, current business purposes, and future business purposes.
Consent to receiving marketing and other communications from PHH is not a requirement of our Certification Program.
You are able to terminate this consent by (a) responding to the email or other communication you receive; or (b) by sending us an email to admin@prophetichearthealing.com.
Section 19 – General Provisions.
Entire Agreement. These Terms contain the entire agreement between you and PHH as it pertains to the Certification Program.
Waiver. The failure by PHH to enforce any provision of these Terms shall not be construed as a waiver or limitation of our right to subsequently enforce and compel strict compliance with every provision of this Agreement.
Applicable Law/Dispute Resolution. These Terms shall be governed by the laws of the State of California. Except for your non-payment of any monies owed, any dispute arising from these Terms shall be subject to binding arbitration. The prevailing Party in any dispute shall be entitled to recover its/his/her reasonable attorney’s fees and costs. The governing rules shall be the rules, then-implemented, by the American Arbitration Association commercial division. PHH and you agree that any such final decisions may be presented to a court of competent jurisdiction for purposes of being confirmed as a judgment enforceable under the law in which that party is domiciled or where their headquarters are located.
Class Action Waiver. To the extent permitted by applicable law, you and PHH agree that any dispute arising out of these Terms or the Certification Program is personal to you and PHH and that any disputes, if any, will be resolved solely through individual arbitration (except for non-payment by you), and will not be brought as a class arbitration, class action or any other type of similar proceeding.
Notices. All notices should be sent via email to admin@prophetichearthealing.com.
Severability. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If an arbitrator or panel of arbitrators finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
